1. Agreement to Terms

These Terms of Service ("Terms") constitute a binding agreement between you and FaithTunes, Inc. ("FaithTunes," "Company," "we," "us," or "our"), governing your access to and use of the FaithTunes website, platform, and services (the "Service").

By accessing, registering for, or using FaithTunes, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

We may modify these Terms at any time. Modifications are effective immediately upon posting to the Service. Your continued use constitutes acceptance of the modified Terms.

2. Eligibility

By using FaithTunes, you represent and warrant that:

• You are at least 18 years old or have parental/guardian consent
• You have the legal capacity to enter into this agreement
• You are not prohibited by law from using the Service
• All information you provide is true, accurate, complete, and current
• You are not a competitor of FaithTunes or using the Service for competitive purposes

FaithTunes is intended for individuals and organizations within the faith and worship community. We reserve the right to verify eligibility and suspend accounts that do not meet these requirements.

3. User Accounts

3.1 Account Creation

To use certain features, you must create an account. You agree to provide accurate, complete information and keep it updated. You are responsible for maintaining the confidentiality of your password and account.

3.2 Account Responsibility

You are solely responsible for all activity on your account. You agree to:

• Use the Service only for lawful purposes
• Protect your login credentials
• Immediately notify us of unauthorized access
• Accept liability for all account activity

3.3 Account Termination

FaithTunes may suspend or terminate your account if you violate these Terms, engage in prohibited activities, or fail verification checks. You may terminate your account by submitting a request through your account settings.

4. User Conduct

You agree not to use the Service in any manner that:

• Violates any applicable laws or regulations
• Infringes on intellectual property rights
• Harasses, abuses, intimidates, or threatens other users
• Contains defamatory, libelous, false, or misleading content
• Transmits malware, viruses, or harmful code
• Attempts to gain unauthorized access to systems or data
• Scrapes, crawls, or automated collects data without permission
• Circumvents security measures or content restrictions
• Interferes with platform operation or user experience
• Impersonates another person or entity
• Engages in discrimination based on protected characteristics
• Posts spam, solicitation, or unsolicited advertising
• Conducts illegal transactions or fraud
• Violates sexual exploitation, trafficking, or abuse prevention laws

5. Community Guidelines and Christian Values

FaithTunes is a faith-based platform dedicated to serving Christian worship communities. All users must uphold the spiritual integrity and Christian essence of the platform through responsible conduct and respect for community values.

5.1 Zero-Tolerance for Profanity and Offensive Content

Users are strictly prohibited from:

• Using profanity, vulgar language, or obscene expressions in any platform communication or content
• Posting content that is sexually explicit, sexually suggestive, or contains nudity
• Uploading or sharing images, videos, or materials of a sexual, violent, or exploitative nature
• Engaging in harassment, bullying, or threatening behavior toward other users
• Using hate speech targeting any person or group based on race, ethnicity, gender, sexual orientation, disability, or other protected characteristics

Violations result in immediate content removal and account penalties up to permanent suspension.

5.2 Respect for Religious and Spiritual Values

FaithTunes is committed to maintaining a respectful Christian environment. Users agree to:

• Respect the Christian faith and beliefs of other users and communities
• Refrain from posting content that is blasphemous, anti-religious, or intentionally disrespectful toward Christianity or other faiths
• Avoid content that demeans the worship experience, ministry work, or spiritual significance of church events
• Maintain professionalism and reverence when discussing faith, worship, or religious practice

5.3 Prohibited Behavior

The following behaviors are strictly prohibited and will result in suspension or permanent ban:

• Solicitation for sexual services or inappropriate relationships
• Distribution of adult material, pornography, or sexually explicit content
• Hate speech, slurs, or discriminatory content targeting any group
• Content promoting violence, self-harm, or illegal activities
• Predatory behavior or exploitation of minors
• Spam, scams, or fraudulent activities targeting church leaders or musicians
• Impersonation or misrepresentation of identity or qualifications

5.4 Content Standards for Profiles and Communications

All user-generated content must meet the following standards:

• Profile Photos: Must be appropriate, professional, and fully clothed. Artistic or suggestive images are not permitted.
• Bios and Descriptions: Must be professional, respectful, and free of innuendo or suggestive language.
• Portfolio Videos: Performance videos and demonstrations must be appropriate for all audiences.
• Messaging: All communications must be professional and free of profanity or inappropriate content.
• Reviews and Comments: Feedback must be constructive, respectful, and free of vulgar or offensive language.

5.5 Content Moderation and Enforcement

FaithTunes employs both automated and human content moderation to maintain community standards:

• Automated screening detects and flags profanity, explicit content, and policy violations
• Content flagged as inappropriate is subject to immediate removal
• User accounts are monitored for patterns of violations
• Moderators review reported content within 24-48 hours
• Users may appeal content removal decisions within 14 days

5.6 Consequences for Violations

• First Violation: Warning, content removal, temporary post restrictions
• Second Violation: 7-day account suspension, mandatory community guidelines review
• Third Violation: 30-day account suspension, potential platform ban consideration
• Severe Violations: Immediate permanent account termination (hate speech, sexual exploitation, predatory behavior)

6. Talent Obligations and Representations

5.1 Professional Standards

Talent professionals agree to:

• Provide accurate descriptions of skills, experience, and credentials
• Maintain professional conduct in all interactions
• Honor accepted bookings in good faith
• Provide services as described and agreed upon
• Communicate promptly with churches regarding bookings
• Comply with all applicable laws and safety requirements

5.2 Verification and Background Checks

FaithTunes may conduct background checks and verification of credentials. Talent agrees to provide truthful information and cooperate with verification processes. False or misleading information may result in suspension or permanent ban.

5.3 Licensing and Permits

Talent is solely responsible for obtaining all necessary licenses, permits, and authorizations required to provide services. Talent shall comply with CCLI licensing requirements and other music licensing obligations.

6. Church Obligations and Representations

6.1 Good Faith Bookings

Churches agree to:

• Post accurate event information and booking details
• Treat talent professionals with respect and courtesy
• Provide reasonable notice before cancellations
• Pay agreed-upon fees in a timely manner
• Fulfill all contractual obligations

6.2 Cancellation Policy

Cancellations must be made with reasonable advance notice:

• More than 30 days notice: No fee charged
• 15-30 days notice: 50% of service fee due
• Less than 15 days notice: 100% of service fee due

7. Booking and Payment Terms

7.1 Booking Process

Bookings are facilitated through FaithTunes, which acts as a neutral marketplace intermediary. The booking request constitutes an offer to contract. Acceptance by the talent creates a binding contract between talent and church.

7.2 Payment Processing

Payment is processed through secure third-party payment processors. Churches agree to:

• Provide accurate payment information
• Pay the full quoted amount by the agreed deadline
• Accept charges in USD (unless otherwise specified)

7.3 Fees and Commissions

FaithTunes retains a 15% platform commission from talent payments. Talent receives 85% of the booking fee. Churches pay the full amount quoted; FaithTunes commission is deducted from talent payout.

7.4 Escrow and Refunds

For bookings over $200, funds are held in escrow until both parties confirm completion. Refunds are processed within 5-7 business days to the original payment method.

7.5 Disputes

Payment disputes must be reported within 30 days of transaction. FaithTunes will investigate and may require evidence (photos, contracts, communications) to resolve disputes. FaithTunes decision is final.

8. Content Ownership and Intellectual Property

8.1 User-Generated Content

You retain ownership of any content you upload (photos, videos, documents, descriptions). By posting, you grant FaithTunes a worldwide, royalty-free, perpetual license to use, display, and distribute your content for platform purposes.

8.2 Platform Content

All FaithTunes content (including logos, text, graphics, software, tools, features) is owned by or licensed to FaithTunes and protected by copyright and trademark laws. You may not reproduce, modify, distribute, or transmit platform content without written consent.

8.3 Music Content

Users are solely responsible for ensuring they have rights to any music they perform or share. Users must comply with CCLI licensing requirements and pay appropriate licensing fees. FaithTunes is not responsible for music licensing compliance.

8.4 Copyright Infringement

If you believe your intellectual property rights are infringed, contact us at copyright@faithtunes.app with specific details. We will investigate and take appropriate action.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• FaithTunes shall not be liable for indirect, incidental, special, consequential, or punitive damages
• FaithTunes' total liability shall not exceed the amount you paid FaithTunes in the past 12 months
• This limitation applies regardless of the legal theory (contract, tort, strict liability)
• Some jurisdictions do not allow liability limitations, so these may not apply to you

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. FAITHTUNES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Fitness for a particular purpose
• Merchantability
• Non-infringement
• Title

FaithTunes does not warrant that the Service will be uninterrupted, error-free, or secure. Use of the Service is at your own risk.

11. Indemnification

You agree to indemnify, defend, and hold harmless FaithTunes and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

• Your violation of these Terms
• Your use of the Service
• Your content or user-generated material
• Claims by third parties related to your account or actions

12. Dispute Resolution and Arbitration

12.1 Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflicts of law principles.

12.2 Arbitration Requirement

You agree that any dispute arising from or related to these Terms or the Service shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. Each party shall bear its own costs, and arbitration fees shall be shared equally.

12.3 Exceptions

Notwithstanding the arbitration requirement, the following may be resolved in court:

• Claims for injunctive relief to prevent harm to intellectual property
• Claims within small claims court jurisdiction
• Claims brought by FaithTunes for unpaid amounts

12.4 Right to Opt Out

You may opt out of arbitration by sending written notice to legal@faithtunes.app within 30 days of first use.

13. Severability

If any provision of these Terms is found to be unenforceable, such provision shall be severed and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, along with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and FaithTunes and supersede all prior agreements and understandings.
